Terms & Conditions

The responsibilities behind every account, prescription and order.

Effective Helivore Therapeutics Ltd. · Redox Smart Pen

About these terms

These Terms & Conditions ("Terms") govern access to redoxpen.com, the prescriber portal at prescribe.redoxpen.com, and related Redox platform services (together, the "Platform"). The technology platform is licensed by Perfection RX and operated for Perfection RX by Helivore Therapeutics Ltd. under the Redox Smart Pen brand ("Redox," "we," "us" or "our"). Helivore Therapeutics Ltd. provides the technology operations through which prescribers submit orders for Perfection RX products and make payment to Perfection RX. "You" means the person using the Platform and, where that person is authorized to act for a practice, that practice.

By using the Platform, you agree to these Terms. If you act for a practice, you represent that you have authority to bind it. If you do not agree, do not use the Platform. Account creation, ordering and payment may require additional affirmative acknowledgments within the portal.

Our Privacy Policy explains information handling. A separately signed agreement controls over these Terms to the extent of a conflict on its specific subject. Applicable pharmacy terms govern the pharmacy's sale and dispensing of medication; these Terms do not authorize Redox to alter a pharmacy's professional obligations.

Platform licensing, operation and pharmacy roles

Perfection RX licenses the Redox technology platform, and Helivore Therapeutics Ltd. operates it for Perfection RX. The Platform enables prescriber registration, receives patient-specific prescription orders for products compounded and sold by Perfection RX, and facilitates payment to Perfection RX. Helivore Therapeutics Ltd. provides and administers the technology service for the pharmacy.

Perfection RX, referred to on this website as Perfect RX, is a licensed 503A compounding pharmacy in Florida. It is the seller of the prescription products and is responsible for compounding, prescription review, dispensing and direct-to-patient fulfillment. Helivore Therapeutics Ltd. is the technology operator; it does not compound, manufacture, sell or dispense the prescription products.

Redox does not practice medicine, diagnose conditions, select treatment, or establish a clinician-patient relationship. The prescriber is responsible for patient care. The pharmacy independently evaluates prescriptions and determines whether it can lawfully compound and dispense them. Submitting an order, obtaining a platform account or seeing a product listed does not guarantee acceptance, availability or fulfillment.

Ordering is exclusively through the Redox prescriber portal. Patients cannot place orders directly, and Redox Smart Pens cannot be ordered directly from Perfect RX outside this portal.

Eligibility, accounts and staff access

Prescriber accounts are for healthcare professionals with current authority to prescribe in the relevant jurisdiction. You must provide accurate, complete and current registration and credential information, maintain required licenses, and promptly update changes affecting your authority to prescribe or use the Platform.

Authorized practice staff may perform administrative tasks within their assigned permissions. Staff access does not confer prescribing authority. Each user must use authorized credentials, protect account access and promptly report suspected misuse to support@redoxpen.com. Do not share credentials or allow another person to prescribe under your identity.

The practice is responsible for selecting, supervising and removing its authorized users. We may request information reasonably needed to verify identity, authority or account security and may restrict access while a concern is investigated.

Prescriber and patient responsibilities

For each prescription, the prescriber is responsible for a valid clinician-patient relationship, an appropriate evaluation, independent clinical judgment, informed consent when required, accurate instructions, and appropriate monitoring and follow-up. The prescriber must comply with applicable prescribing, telehealth, professional licensing, privacy and recordkeeping requirements.

You must have a lawful basis to submit patient information and disclose it for prescription processing, payment and fulfillment. Verify patient identity, contact and delivery details, medication, formulation, quantity, directions and refill authorizations before submission. Correct errors promptly through the portal or support; contact the pharmacy or treating clinician directly when a medication issue needs clinical attention.

Compounded medications are not FDA-approved. FDA does not evaluate them for safety, effectiveness or quality before marketing. A pharmacy's 503A status does not establish that every ingredient, formulation, prescription or destination is eligible for compounding or dispensing. The prescriber and pharmacy retain their respective legal and professional responsibilities. Read FDA's information about compounded medications.

Website content and product imagery are informational. Total container content is not a dose recommendation. Follow the pharmacy's dispensed label and the applicable device instructions. Do not use the Platform for emergencies; seek immediate emergency care when needed.

Orders, availability and pricing

A submitted prescription is a request for pharmacy review and fulfillment, not a promise that a product can be supplied. The pharmacy may seek clarification, decline a prescription or limit fulfillment based on patient needs, legal requirements, ingredient availability or other professional considerations. Listings and access do not establish availability in every state.

Review the product price, shipping charge and any applicable taxes or other disclosed charges before submitting an order. An obvious pricing or listing error may be corrected before fulfillment; if it changes your order total, you must have an opportunity to accept the correction or cancel the affected order before it proceeds. Future price changes do not authorize undisclosed charges.

A promotional offer applies only to the products, eligible orders and period stated in that offer. It does not create an ongoing price commitment for later prescriptions or refills unless expressly stated.

Payment, patient billing and refills

The practice maintains a valid payment card in its portal account. By submitting an order, you authorize the disclosed order charges to that card when the order ships. Helivore Therapeutics Ltd., operating the licensed Platform for Perfection RX, facilitates the order and payment to Perfection RX as the product seller. Review the payment information shown in the portal and your order records; contact support about an unfamiliar or incorrect charge.

The practice bills its patients separately and sets its own patient pricing in compliance with applicable law and professional obligations. Redox does not collect patients' payments to the practice. Nothing on this website promises insurance coverage or reimbursement.

When you enable auto-refill, you authorize eligible refill orders and the associated disclosed charges to the card on file when each order ships, within the prescription's remaining authorized refills. A refill remains subject to prescription validity and pharmacy review. The prescriber must manage refill settings, confirm ongoing clinical appropriateness and stop or update refills when treatment changes.

Turn off auto-refill or request a change before the next refill is processed. Disabling future refills does not automatically cancel an order already in pharmacy processing. Contact support promptly if the portal cannot complete your request. Account closure does not itself cancel prescriptions or pending orders.

Shipping, changes and order problems

Perfection RX fulfills accepted prescriptions directly to the patient at the verified delivery address. Delivery estimates are estimates; a preorder does not promise a shipping date unless one is expressly confirmed. Follow pharmacy instructions for receipt, storage, handling and beyond-use dating.

Request an address change, cancellation or correction promptly through the portal or support. Whether a change is possible depends on the pharmacy's processing stage and applicable requirements. Do not assume an order has changed or been canceled until you receive confirmation.

Dispensed prescription medication generally cannot be returned for redispensing. Refunds, replacements and other remedies depend on the circumstances, applicable pharmacy policies disclosed for the order and applicable law. If an order is incorrect, damaged, missing or otherwise concerning, contact support promptly and keep the packaging and order details. Do not use medication you suspect is compromised; consult the dispensing pharmacy or prescriber. These Terms do not eliminate rights or remedies that cannot lawfully be excluded.

Acceptable use and platform materials

You may use the Platform only for lawful purposes within your authorization. Do not submit fraudulent prescriptions or misleading information; access another person's account or patient records without authority; bypass security or access controls; introduce harmful code; disrupt the service; or extract personal information through unauthorized automated collection.

Redox and its licensors retain their rights in Platform software, text, designs, logos and other materials. You may view and use materials for their stated purpose and share resources expressly made available for distribution. Do not misrepresent product claims, alter branding or republish materials in a way that implies an endorsement or permission you do not have.

You retain your rights in information you submit. You authorize Redox to process and transmit that information only as needed to provide the services, as described in the Privacy Policy and as otherwise permitted or required by law. This does not grant a general right to publish patient information or use it in advertising.

Service availability and third parties

We may maintain, update or change Platform features and may temporarily interrupt service for maintenance, security or operational reasons. Keep appropriate practice records and an alternative way to contact the pharmacy; the Platform is not an emergency communication service or a substitute for your required clinical record system.

Links to outside resources are provided for convenience. Their operators control their own content and services. A third party's terms may apply to its service, but those terms do not remove obligations Redox independently owes you.

Disclaimers and limits of liability

To the extent permitted by law, the Platform and its informational content are provided on an "as available" and "as is" basis. Redox disclaims implied warranties of merchantability, fitness for a particular purpose and noninfringement for the Platform. We do not promise uninterrupted or error-free access or a particular clinical outcome. These disclaimers concern Redox's platform services and do not replace the pharmacy's obligations or any express written commitment.

To the extent permitted by law, Redox is not liable for indirect, incidental, consequential, special or punitive losses, including lost profits or business interruption, arising from Platform use. Redox's aggregate liability arising from these Terms or the Platform will not exceed the total amount paid by your practice through the Platform during the twelve months before the event giving rise to the claim.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit to be limited, including any nonwaivable privacy, patient or consumer rights. They do not limit Perfection RX's independent responsibility for its products and pharmacy services.

Responsibility for third-party claims

To the extent permitted by law, a practice using the prescriber portal agrees to indemnify Redox against third-party claims, damages and reasonable legal costs to the extent caused by the practice's unlawful prescribing, unauthorized disclosure of patient information, fraudulent submissions or material breach of these Terms. This obligation does not apply to the extent a claim results from Redox's own negligence, misconduct or breach of law.

Redox will provide reasonably prompt notice of a claim and reasonable cooperation. No settlement may admit fault by, impose a nonmonetary obligation on, or waive rights of an indemnified party without that party's written consent. This section does not impose a professional-practice indemnity on a person merely browsing the public website.

Suspension and account closure

We may restrict or suspend access where reasonably necessary to address suspected fraud, a security risk, loss of prescribing authority, unlawful conduct or a material breach. Where appropriate and lawful, we will provide notice and an opportunity to address the issue. Immediate action may be necessary to protect patients, information or the service.

You may request account closure through support. Closure does not erase records subject to lawful retention, cancel pharmacy obligations or eliminate payment obligations for fulfilled orders. We will work with authorized users to address pending administrative matters, subject to applicable privacy and recordkeeping requirements. Terms intended to continue after closure, including payment, intellectual property and liability provisions, survive as applicable.

Updates, governing law and general terms

We may revise these Terms and will update the effective date. Material changes will be identified through a prominent website or portal notice or another appropriate direct communication. Changes apply prospectively from the stated effective date; where affirmative agreement is required, we will seek it. Continued use after changes take effect indicates acceptance to the extent permitted by law.

These Terms are governed by Florida law and applicable United States federal law, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Disputes may be brought in courts with lawful jurisdiction; these Terms do not require arbitration or waive a right to bring a claim that cannot lawfully be waived.

If a provision cannot be enforced, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer your account or contractual rights without our written consent. Redox may transfer these Terms as part of a business reorganization or transfer of the relevant service, subject to applicable law and the Privacy Policy. These Terms and any applicable separately accepted agreements form the agreement concerning their respective subject matter.
